1. Parties and acceptance
This licence agreement (the “Licence”) is concluded between the Provider (details in the Terms of Service, brand DeliForge) and the Customer. Capitalised terms have the meaning given in the Terms of Service.
Downloading, installing or running the Software, or ticking the Licence acceptance box in the Software, constitutes acceptance of this Licence. A person accepting on behalf of a business represents that they are authorised to do so. If you do not accept the Licence, do not use the Software.
2. Grant of licence
- The Provider grants the Customer a non-exclusive, non-transferable, revocable licence, without the right to sublicense, to use the Software by one developer on one workstation per purchased licence (during the PoC trial — to the extent agreed with the Provider).
- Fields of use: installing, running, displaying and storing the Software to the extent necessary for its intended use, for the Customer’s internal purposes.
- The Licence is valid for the paid period (indicative price: PLN 99 net / developer / month) or for the trial period indicated by the Provider.
- All rights in the Software, including copyright and the Deli and DeliForge marks, remain with the Provider. The Customer acquires no rights other than those expressly granted in this Licence.
3. Restrictions
To the extent permitted by law (including Article 75 of the Polish Copyright Act), the Customer must not: decompile, disassemble or reverse engineer the Software; modify it or create derivative works; sell, rent, lend or make the Software available to third parties, including as a service (SaaS); circumvent any protections or limitations; remove proprietary notices; use the Software to build a competing product or in breach of the law or Third-Party Service terms.
4. Early version (PoC)
The Software is an early version made available for evaluation and early use. Features may change, be removed or malfunction. The Provider has no obligation to provide updates, fixes or support unless separately agreed in writing or documentary form.
5. Third-party components and Third-Party Services
- The Software image contains open-source components (including OpenJDK, PostgreSQL, git and Node.js) provided under their own licences, which prevail with respect to those components.
- Claude Code is software of Anthropic PBC. Its use, including signing in to a Claude account, is governed solely by Anthropic’s terms accepted by the Customer. This Licence grants no rights to Claude Code or Claude models.
- The Customer independently assesses whether their plan and accounts with Third-Party Services permit use in the manner performed by the Software, and bears all related costs and risks.
6. Output (AI-generated code and content)
- The Provider claims no rights to Output. As between the parties, Output belongs to the Customer to the extent it can be subject to rights.
- The Provider does not warrant that Output is correct, complete, secure, compliant with requirements, original, protected by copyright, or that it does not infringe third-party rights (including open-source licences).
- The Customer is solely responsible for verifying, testing, merging, deploying and otherwise using Output.
7. Data
The Software runs on the Customer’s infrastructure. The Provider has no access to repositories, issues, tokens or other data processed in the Software and is neither their controller nor processor. The Customer decides, through configuration and use of the Software, which data is sent to Third-Party Services. Details: Privacy Policy.
8. Disclaimer of warranties
The Software is provided “as is”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, freedom from errors, uninterrupted operation, security and non-infringement. Statutory warranty for defects (rękojmia) is excluded (Article 558 § 1 of the Polish Civil Code). The entire risk as to the quality and performance of the Software and Output lies with the Customer.
9. Limitation of liability
- The Provider shall not be liable for any indirect or consequential damage, lost profits, loss of revenue, data or reputation, in particular resulting from: incorrect or harmful code, changes pushed or merged into repositories, damage to or loss of repositories and data, system downtime, disclosure of information to Third-Party Services, costs and limits of Third-Party Services, account suspensions, contractual penalties and claims by the Customer’s clients.
- The Provider’s total liability to the Customer under the Licence and for use of the Software, on any legal basis, is limited to the fees paid for the Licence in the 12 months preceding the event giving rise to the damage, or PLN 100 during a free period.
- These limitations do not apply to damage caused intentionally or other cases where exclusion of liability is not permitted by mandatory law.
10. Indemnification
The Customer shall indemnify the Provider and cover reasonable costs (including legal fees) related to third-party claims arising from the Customer’s use of the Software or Output, breach of this Licence or Third-Party Service terms, or sending data to Third-Party Services without an appropriate legal basis.
11. Term and termination
The Licence expires at the end of the period for which it was granted. The Provider may terminate the Licence with immediate effect if its terms are breached. Upon expiry or termination the Customer stops using and deletes the Software. Sections 6–10 and 12 survive termination.
12. Final provisions
This Licence is governed by Polish law, excluding the UN Convention on Contracts for the International Sale of Goods. Disputes are resolved by the court competent for the Provider’s registered office. Invalidity of a provision does not affect the remaining ones. The Provider may amend the Licence for new versions of the Software. The Polish version is binding.
